Project Lifecycle

What am I investing in during the Offer stage?

You are subscribing for ordinary shares in a special purpose company (SPV) created solely for this specific property development. Each share is stapled 1:1 to a digital Token recorded on the platform.

What does "stapled share and Token" mean?

It means your legal share and your digital Token are permanently linked. If the Token is transferred, the beneficial ownership of the corresponding share transfers with it.

Is this a managed fund?

No. This is not a managed investment scheme. You are buying shares directly in the project company, and your rights are governed by the company’s constitution and shareholders’ agreement.

What happens if the minimum raise isn’t met?

If the minimum capital required for the project is not raised, the Offer will not proceed and your investment funds will be returned.

Can the Offer close early?

Yes. If the project becomes fully subscribed before the advertised closing date, the Offer may close early.

When do I officially become an investor?

You become an investor at Settlement — when the shares are issued and the property acquisition completes.

Who holds the shares?

Legal title to the shares is held by an independent bare trustee on your behalf. You hold the beneficial ownership, meaning you are the true economic owner.

Where can I see my investment?

Your Tokens (which represent your shares) will appear in your platform dashboard once Settlement has completed.

Can I withdraw once the Offer has closed?

Once the Offer has closed and Settlement is underway, withdrawals are generally not available.

What happens after the raise completes?

The project company acquires the property, engages the development partner, and begins construction. This is the stage where value is created through development.

Will I receive updates?

Yes. Investors receive regular updates through the platform covering progress, milestones, and key announcements.

Do I receive income during development?

Property development projects typically aim to generate returns at completion and sale rather than paying regular income during construction.

What are the main risks during development?

Key risks include construction delays, cost overruns, regulatory changes, and shifts in the property market. All investments carry risk, including the risk of losing some or all of your capital.

Can I sell my investment before the project finishes?

Yes. After an initial lock-up period (typically around three months after the Offer closes), you may list your Tokens for sale on the platform.

Is there guaranteed liquidity?

No. You can only sell if there is a buyer. There is no guarantee that a market will exist at any given time.

How is the price determined?

Buyers and sellers set prices. The platform matches orders but does not determine or guarantee pricing.

Can I transfer or sell outside the platform?

No. Tokens and their stapled shares can only be transferred within the platform’s closed-loop system.

How do investors make money?

Returns may come from profits generated when the completed dwellings are sold, or from capital gains if you sell your Tokens at a higher price on the platform.

When are returns paid?

If the project generates profit, distributions are made to shareholders in accordance with the company’s governing documents after debts and costs have been paid.

What happens at the end of the project?

Once the development is completed and assets are sold, project debts are repaid, costs are settled, and any remaining profit is distributed to investors. The company may then be wound up.

Could I lose money?

Yes. Property development involves risk. If costs exceed revenue or the market declines, investors may receive less than they invested — including potentially losing their full investment.
